Ausnahme gewährt bei individueller Grenzwertüberschreitung eines Gruppenmitglieds ohne resultierenden Kontrollwechsel
Führen Übertragungen innerhalb einer (beherrschenden) Gruppe dazu, dass einzelne Aktionäre bzw. Untergruppen (einschliesslich solcher, die neu Teil der Gruppe werden) den Grenzwert überschreiten, so unterstehen sie der Angebotspflicht, obwohl die Gruppe selber ihr nicht unterliegt. Es kann ihnen in diesem Fall allerdings gestützt auf Art. 136 Abs. 1 lit. a FinfraG bzw. Art. 41 Abs. 2 lit. b FinfraV-FINMA eine Ausnahme gewährt werden, wenn dadurch für die Minderheitsaktionäre kein (nachteiliger) Kontrollwechsel bewirkt wird. Bei Änderungen in der Zusammensetzung einer Gruppe
Die Ausnahme von Art. 136 Abs. 1 lit. a FinfraG bzw. Art. 41 Abs. 2 lit. b FinfraV-FINMA kann auch dann greifen, wenn die Gruppe nicht in ihrer ursprünglichen Zusammensetzung fortbesteht, z.B. wenn ein ausscheidendes Mitglied einen Teil oder sämtliche bisher gehaltenen Aktien einem anderen Mitglied der Gruppe überträgt, ohne dass sich der Anteil der Gruppe insgesamt erhöht.
7.5.3 Die Übernahmekommission scheint anzunehmen, Art. 32 Abs. 2 lit. a BEHG gelte nur, wenn die Gruppe in ihrer ursprünglichen Zusammensetzung fortbesteht. Dem ist jedoch nicht so: Wenn einerseits das blosse Ausscheiden eines Gruppenmitgliedes schon grundsätzlich die Angebotspflicht nicht auslöst (E. 6.2.1) und andererseits eine Übertragung innerhalb einer Gruppe in der Regel zu einer Ausnahme führt (E. 7.4.4), dann ist nicht ersichtlich, weshalb eine Ausnahme ausgeschlossen sein soll, wenn die beiden Elemente zusammentreffen, indem das ausscheidende Mitglied einen Teil seiner bisher gehaltenen Aktien einem anderen Mitglied des Aktionärspools überträgt, ohne dass sich der Anteil der gesamten Gruppe erhöht. Eine andere Lösung führte zu unlogischen und willkürlichen Ergebnissen: Hätte im vorliegenden Fall die Coop Bank etwa nur einen Teil ihrer Aktien den Beschwerdeführern veräussert und wäre sie weiterhin Mitglied der Gruppe geblieben, wenn auch mit einem unbedeutenden Anteil, so wäre demnach eine Ausnahme möglich gewesen, nicht aber, wenn sie aus der Gruppe gänzlich austritt. Dies ist sachlich nicht zu rechtfertigen. Die Stellung der Minderheitsaktionäre hängt nicht davon ab, ob die Coop Bank ihren Poolbestand ganz oder nur teilweise veräussert. Art. 32 Abs. 2 lit. a BEHG muss daher so verstanden werden, dass mit "Gruppe" die Gruppe im Ausgangszustand gemeint ist. Werden unter den Mitgliedern dieser vorbestehenden Gruppe Aktien verschoben, so bleibt die Bestimmung grundsätzlich anwendbar, selbst wenn im Endzustand einzelne Mitglieder ganzausscheiden.
